1. Agreement to These Terms
These Terms of Service form a binding agreement between the person who uses this website or engages the notary seal desk and AMARTINEZ PLLC. By browsing this website, by sending a message to the desk, by calling +17436478465, or by handing a document to the desk for drafting, review, notarization, authentication, recording or safekeeping, the person accepts these terms. A person who does not accept these terms should not use the website and should not engage the desk.
These terms apply in addition to any engagement letter that the desk and a client sign for a particular matter. Where an engagement letter conflicts with these terms, the engagement letter controls for that matter. These terms do not replace the ethical and statutory duties that apply to a notary public, and nothing in these terms asks a client to give up a right that the law does not permit to be waived.
2. Who We Are
The desk is operated by AMARTINEZ PLLC, whose business address is 1092 N Story Dr, Lehi - 84048-2175, United States (US). The desk drafts and reviews contracts, notarizes and authenticates documents, prepares estate papers, forms small businesses, supports real estate closings and provides dispute resolution counsel for clients in Lehi, in Utah County and elsewhere on request. Throughout these terms the terms the Company, we, us and our refer to AMARTINEZ PLLC, and the term the desk refers to the notary seal desk and its staff.
3. Scope of Services
The desk offers transactional and document services. These include contract drafting and review, notarization and authentication, estate and will preparation, small business formation, real estate closing support and dispute resolution counsel. The exact scope of a matter is set out in the engagement letter for that matter. Work that is not described in an engagement letter is not part of the engagement, and the desk is not obliged to perform work outside the agreed scope.
The desk may decline a matter for any lawful reason, including a conflict of interest, a deadline the desk cannot meet, a request to notarize a document that has been altered after signing, or a request that would require the desk to act outside the powers a notary public holds. When the desk declines a matter, it will explain the reason where it is able to do so.
The desk does not appear in court as trial counsel and does not hold itself out as litigation counsel. Where a matter must be tried, the desk organizes the file and works alongside counsel who conducts the trial. The desk also does not prepare a tax return, does not provide investment advice and does not act as an accountant. Where a matter needs one of those services, the desk will say so and, if the client asks, refer the client to a professional who provides it.
4. No Legal Advice Through the Website
The content of this website is provided for general information only. Reading a page of this website does not create a client relationship and does not constitute legal advice. A description of a service on this website is not a substitute for a reading of the specific documents in a specific matter. A person should not act or refrain from acting on the basis of website content alone, and should engage the desk for an engagement letter before relying on any view expressed here.
A client relationship begins only when the desk and the client sign an engagement letter and the desk confirms that it accepts the matter. Until that point, no duty of confidentiality owed to a client attaches to information sent to the desk, although the desk still handles such information with the care described in the Privacy Policy.
5. Notarial Services
A notarial act is a formal act performed by a notary public. The desk performs notarial acts in person at 1092 N Story Dr and records each act in a bound journal. A notarial act confirms identity and the fact of a signature; it does not confirm the truth of the statements in a document and does not make an unlawful document lawful. The desk will refuse to notarize a document where the signer does not appear, where the signer cannot be identified, where the signer does not appear to understand the act, or where the document has been altered after signing.
For a document that will be used outside Utah, the desk can arrange authentication through the county clerk and the Secretary of State. The desk will explain the chain of authentication that a destination state or country requires, and will prepare the request forms that the chain needs. The time a chain takes depends on the offices involved and is outside the control of the desk.
6. Client Responsibilities
A client must not ask the desk to notarize or file a document that the client knows to be false or altered. A client must sign in person where the law requires a personal appearance.
- Provide truthful identification and a current address.
- Supply the complete document, including every schedule and exhibit.
- Confirm that every signature is made in the presence of the notary.
- Tell the desk which state or country will receive the document.
- Meet the deadlines that the client has agreed with a third party.
- Read the completed document before signing and ask about any unclear term.
- Keep a personal copy of every page that the desk returns.
The desk is not responsible for a consequence that flows from information a client withheld or from a document a client altered. A client who is unsure whether a fact matters should tell the desk anyway, because the desk would rather discuss an awkward detail before signing than discover it after a document has been recorded.
7. Identification and Signing
A signer must present a current government issued photo identification at the desk. Where identification cannot be produced, the law may allow a credible witness to identify the signer, and the desk will explain whether that option is available. The desk must see the signature being made unless the law provides an exception. The desk will not accept a document that arrives already signed where a personal appearance is required, and will not apply the seal to a page that has been changed after signing.
Where witnesses are required, the client may bring witnesses or the desk may arrange for witnesses where that is permitted. Witnesses must be present in person and must be able to confirm what they saw. The desk will not act as a witness to a document it also drafts where the law forbids the combination.
8. Fees and Payment
Fees for drafting, review, estate work, business formation, closing support and dispute counsel are set out in the engagement letter for the matter. Notarial fees are set within the limits the law allows, and any statutory maximum is passed through without markup. The desk may take a deposit for work that will take significant time, and may pause work where a balance is overdue.
A client should ask for the fee in writing before work begins. Where a matter becomes more complex than expected, the desk will explain the added cost before the added work is done, so that the client can decide whether to proceed. Travel outside Lehi, expedited authentication and third party charges such as recording fees are billed at cost where they arise.
The desk sends an invoice after a matter is complete or at an agreed interval during a longer matter. An invoice states the work performed and the time or flat fee that applies. A client who has a question about an invoice should raise it within a reasonable time, and the desk will review the account in good faith. A disputed invoice does not by itself pause the duties the desk owes on an open matter.
9. Scheduling and Cancellations
Drafting, estate and closing sessions are booked ahead so that the desk can read the file properly. A client who cannot keep an appointment should tell the desk as early as possible so that the time can be offered to another client. The desk may reschedule a session where a document is not ready or where identification is incomplete. A repeated failure to attend a booked session may lead the desk to ask for a deposit before holding further time.
Walk-in notarization is offered where the schedule allows. A walk-in slot is never guaranteed, and a call ahead is always recommended. The desk will tell a caller honestly whether the desk can see them the same day.
10. Document Storage and Return
The desk stores signed originals in a locked cabinet at the notary seal desk unless the client asks for immediate return. Storage is offered as a courtesy and is not a substitute for a safe deposit box or a fireproof home safe. Where the desk stores an original, it will return it on request after confirming the identity of the person asking. The desk will keep a conformed copy only where the client agrees or where the law requires the desk to keep a record.
A client should keep a personal copy of every important document. The desk cannot promise that a stored original will survive a fire, a flood or a theft that is beyond its control, and it carries no custody guarantee beyond the reasonable care described here.
11. Intellectual Property
The text, layout, styling and code of this website belong to AMARTINEZ PLLC and are protected by copyright and by other laws. A visitor may read, download and print a page for personal and non commercial use. A visitor may not copy the website for a competing service, may not remove a notice of ownership, and may not resell the content. Drafting templates, checklists and forms created by the desk remain the property of the desk, although a client owns the executed document produced for that client matter.
The name AMARTINEZ PLLC and the seal glyph that identifies the desk may not be used in a way that suggests an endorsement or a connection that does not exist. A client who wishes to mention the desk in a professional biography may do so factually, provided the mention does not imply a partnership or a guarantee of outcome.
12. Acceptable Use of the Website
A visitor must use this website lawfully. A visitor must not attempt to gain unauthorized access to the site or to any system behind it, must not upload malicious code, must not use automated tools to overload the site, and must not use the site to harass the desk or another person. A visitor must not send false information through the contact form or use the form to send unsolicited advertising. The desk may block access where it reasonably believes that a visitor is misusing the site.
13. Third Party Services
This website may rely on a third party for hosting, email or file storage, and may link to a third party such as a county recorder or a state portal. The desk does not control those third parties and is not responsible for their acts or their terms. Where a matter requires a third party step, the desk will tell the client which third party is involved and what that party requires. A client who uses a third party service does so under that party own terms.
A recording office sets its own hours and its own turnaround, and an authentication chain moves at the pace of the offices in it. The desk tracks each step and tells the client where the document stands, but the desk cannot make a government office move faster than the office chooses to move.
14. Disclaimer of Warranties
The website and its content are provided as they are and as they are available. The desk makes no warranty that the website will be uninterrupted, that it will be free of error, or that the content is complete for a particular purpose. The desk makes no warranty about the outcome of a filing, a recording, an authentication or a dispute. A warranty that the law does not permit to be excluded is not excluded by these terms, and nothing here should be read to disclaim a duty that the law places on a notary public.
15. Limitation of Liability
To the fullest extent the law allows, AMARTINEZ PLLC is not liable for an indirect, incidental, special or consequential loss that arises from the use of this website or from a matter handled at the desk. This includes lost profit, lost opportunity and loss of data. Where a liability cannot be excluded, the total liability of the desk for a matter is limited to the fee paid to the desk for that matter. This limitation does not apply where the law forbids such a limitation or where the loss results from conduct that the law does not permit to be limited.
16. Indemnification
A client agrees to indemnify and hold harmless AMARTINEZ PLLC against a claim that arises from information the client provided that was false, from a document the client altered, from a signature the client obtained improperly, or from a use the client made of a document after it left the desk. This obligation does not extend to a claim that arises from the negligence of the desk itself. The desk will give the client prompt notice of any claim that touches this section.
17. Governing Law and Disputes
These terms are governed by the laws of the State of Utah and of the United States. A dispute that arises from these terms or from a matter handled at the desk will be brought in the state or federal courts that sit for Utah County, Utah, unless the law requires another forum. Before filing a claim, the parties will attempt in good faith to resolve the dispute by discussion, and the desk will provide the documents needed for that discussion.
Where a dispute concerns a notarial act, the desk will cooperate fully with the process that Utah law provides for a complaint about a notary. The desk keeps the journal entries and the file records that such a process requires.
18. Changes to These Terms
The desk may update these terms to reflect a change in practice, in technology or in the law. When the terms change, the effective date at the top of the page changes as well. A material change will be described in a short note near the top of the page. Continued use of the website after a change means that the visitor accepts the updated terms. An open matter is governed by the terms in force when the engagement letter for that matter was signed, unless the client agrees to the newer terms.
19. Contact Information
Questions about these terms may be sent to the notary seal desk using the details below. The desk replies as quickly as it can.
